Service Terms

The Service Terms or Terms or Terms & Conditions or Terms Policy ("Services") governs your use of the TIME Platforms, including our website.

The Service Terms and our Privacy Policy and our TIME Money Back Guarantee Policy and our Prohibited Activities Policy and our Charity Eligibility Policy are also referred as "Policies".

Our priority is to offer the best possible experience to our users when they use our Services. We try our best to offer a safe environment and fully compliant to the respective laws of each jurisdiction.

TIME Platforms is a marketplace that allows users to monetize in a simple and quick way their time rate per minute, minute video to video interactions, video calls, direct messages, live streams and popular videos.

By using our Services you represent and warrant that you have read, understand and agree to be bound by these Service Terms. If you do not agree then do not access or use TIME Platforms.

Service Controller:

TIME Platforms ltd ("us", "we", or "our") operates the TIME Stream website and the TIME Platforms mobile applications and web services and is the service controller in connection to our Services.

Arbitration Notice:

 

These Service Terms contain an arbitration clause and a waiver of rights to bring a class action against us. Except for certain types of disputes mentioned in that arbitration clause, you and TIME Platforms ltd agree that disputes between you and us will be resolved by mandatory binding arbitration, and you and TIME Platforms ltd waive any right to participate in a class-action lawsuit or class-wide arbitration.
 

By using our Services you agree that (1) in case you pursue claims and seek relief this can happen only on an individual basis, not as a plaintiff or class member in any class or representative action or proceeding, and (2) you waive your right to seek relief in a court of law and to have a jury trial on your claims, and (3) any disputes will be resolved by mandatory binding arbitration.

Accepting the Terms:

 

By accessing or using our Services you confirm that you can form a binding contract with us and you agree and accept these Service Terms and our Privacy Policy and our TIME Money Back Guarantee Policy and our Prohibited Activities Policy and our Charity Eligibility Policy and you agree to comply with them.
 

If you are accessing or using the Services as a business entity "you" and "your" includes you and that business entity and you confirm that you can form a binding contract with us, you agree and accept these Service Terms and our Privacy Policy and our TIME Money Back Guarantee Policy and our Prohibited Activities Policy and our Charity Eligibility Policy and you agree to comply with them. Your business entity is legally and financially responsible for your access or use of the Services as well as for the access or use of your account by other affiliated parties with your entity such as - but not limited to - any employees, agents or contractors.
 

You can accept the Services by accessing or using our Services. You understand and agree that we will treat your access or use of the Services as acceptance of the Service Terms from that point onwards.

Changes to the Service Terms:

 

Any time we need to amend our Services we may do it without prior notice. As soon as we amend our Services we will update the "Last Updated and Effective Date" at the top of these Service Terms, which reflect the effective date of the latest amendment. We will use commercially reasonable efforts to generally notify all users of any material changes to these Services and you must look at the Terms regularly and prior to access or use the Services after the amendment. Your continued access or use of the Services constitutes your acceptance of the new Service Terms. By accessing or using TIME Platforms after a new version is posted, you agree to all amendments reflected therein. If you do not agree to the new Service Terms then you must stop accessing or using our Services.

Type of Users:

 

Any internet user such as - but not limited - experts, creators, leaders, influencers, celebrities and any organizations such as - but not limited - businesses, charities, non profit organizations who wish to monetize their real life and out of the platform time will be referred as "TIME Users" or "sellers" or "providers" or "sub-merchants".
 

Any people who wish to follow TIME Users within our platforms will be referred as "followers" or "community" or "audience" or "buyers". TIME Users may be Followers at the same time and vice versa.
 

A Follower may request a personalized reply or advice or interaction from a TIME User who monetized their real life and out of the platform time.

True Accounts Only:

 

By creating an account in our platforms you agree to provide true, accurate, current and complete information. You agree not to create an account using a false identity or providing false information or if you have previously been removed or banned from our Services. You are responsible for maintaining the confidentiality of your account information and your respective payment method and banking details. You are responsible for all activities that occur on or in connection to your account and you agree to notify us immediately of any unauthorized access or use of your account. You acknowledge and agree that we are not responsible or liable for any damages, losses, costs, expenses or liabilities related to any unauthorized access or use of your account.
 

You are liable to maintain and promptly update your details and any other information you provide to us and keep such information current and complete.
 

We reserve the right to disable your account at any time, including - or not - if you have failed to comply with our Service Terms or Policies or if activities occur on your account which - in our sole discretion - would or might cause damage to or impair the Services or infringe or violate any third party rights or violate any applicable laws or regulations in one or more jurisdictions. If you no longer want to use our Services you can delete your account. Once you delete your account then you will not be able to reactivate your account or retrieve any content or information in relation to your account or payment.

Marketplace Agreement:

 

To comply with financial service laws and the rules of the payment methods each sub-merchant must contract directly with our 3rd party payment processing and acquiring services partner and undergo a know your customer "KYC" background check and Anti-Money Laundering and Anti-Terrorist Financing "AML" verifications to be allowed to use these payment processing and acquiring services. For this purpose each sub-merchant must during their onboarding accept and download the terms and conditions of our 3rd party payment processing and acquiring services partner, provide their personal details in order to enable KYC and provide their bank account details for settlement of funds for successfully processed payments.
 

You agree that our 3rd party payment processing and acquiring services partner will in its discretion approve or reject each sub-merchant submitted for approval via the sub-merchant onboarding process and any rejection may stand with our 3rd party payment processing and acquiring services partner sole discretion.
 

You agree and authorize us that in order to offer you our Services we will be designated as your authorized representative towards our 3rd party payment processing and acquiring services partner with respect to the use by you of the 3rd party payment processing and acquiring services partner services.

Access or Use of Our Services:

 

Your access or use of our Services is subject to the Service Terms and our Policies and you agree to comply with them and all applicable laws and regulations. You must not access or use our Services if you are not fully able and legally competent to agree to these Service terms.
 

You must not access or use our Services if you are not authorized to use or access our Services by your parent or legal guardian.
 

You are not allowed to make any unauthorized copies, modify, adapt, translate, defame, reverse engineer, disassemble, decompile or create derivative works of the Services or any content included or determine or attempt to determine any source code, algorithms, methods or techniques embodies by our Services or any derivative works thereof.
 

You are not allowed to trade, distribute, license, transfer, buy and sell, in whole or in part or any derivative works out of our platforms and without our prior consent.
 

You are not allowed to rent, lease, trade, market our Services for a fee or charge or use our Services in order to advertise or perform any commercial solicitation.
 

You are not allowed to use our Services for any commercial purpose out of our platforms without our express written consent, including communicating or facilitating any commercial advertisement or solicitation or spamming.
 

You are not allowed to use our Services by impersonating any person or entity or falsely state or otherwise misrepresent  you or your affiliation with any person or entity, including giving the impression that any content you upload, promote, trade, distribute or otherwise make available emanates from the Services.

Bypass of Service Terms:

 

You must not interfere with or attempt to interfere with the proper working of our Services, disrupt our platforms or any networks connected to these Services or bypass any measures we may use to prevent or restrict access to our Services.
 

You must not incorporate our Services or any portion into any other program or software or product.
 

You must not use automated scripts to collect information from or otherwise interact with the Services and bypass any of our Service Terms.
 

We reserve the right at any time and without prior notice to refuse service, terminate accounts, block payments or limit access to our Services in our sole discretion.

TIME User & Community Policy:

 

You must not intimidate, harass, promote sexually explicit material, promote violence or discrimination.
 

Sexually explicit material is not allowed in any means through videos, live streams or private mode interactions.
 

You must not use or attempt to use another's account or create a false identity.
 

You must not interact in a way that we may assess - in our sole discretion - as inappropriate, sexually explicit, hateful, spam or of any form of prohibited form of solicitation.
 

You must not create or promote or trade any material that is pornographic, hateful and defamatory of any person or encourage or provide instructions for a criminal offence, dangerous activities or self-harm.
 

You must not create or promote or trade any material that includes threats, trolling, bullying, violence or is intended to harass, harm or scare people.
 

You must not engage in any activity outlined in our Prohibited Activities Policy.
 

We reserve the right at any time and without prior notice to refuse service, terminate accounts, block payments or limit access to our Services in our sole discretion.

Free for Everyone:

 

Our platforms are free for everyone to access and view content and create content and monetize their time as long as they comply with our Service Terms and our Policies. Any video content must comply with our Service Terms our Policies.

No Right to Sell or Trade Digital Content:

 

It is not allowed to sell or trade or merchandise digital content within our platforms.

No Right to Sell, Licence or Sublicence Copyrights:

 

It is not allowed to sell, licence or sublicence copyrights of any digital content in our platforms.

What Can You Sell?:

 

TIME Users can monetize their real life and out of the platform time. They can interact with other users and their followers through videos, live streams and video calls and offer their insight or reply or advice or services without selling or licencing or sublicensing their digital content.
 

TIME Users can not sell their digital content under their profile.
 

TIME Users can get paid for their time spent to interact.
 

TIME Users can set their time rate per minute in their profile settings. TIME Users can set discounts to their time rate for their live stream or video call at their own discretion and without any further adjustments in their profile settings.

Tips:

 

We track all tips in order to ensure that we follow the highest possible anti-money laundering practices.
 

A video question can not exceed one minute length. A TIME User gets paid for their minute rate. For convenience reasons we enable video responses up to 3 minutes length. Nevertheless, the TIME User will get paid for their one minute rate only - even if their reply is longer; we do not reward unnecessarily prolonged replies. In case a video response is longer than one minute and it is considered valuable by the follower then a tip is possible to be offered on top of the valuable and prolonged video response, as a gesture of appreciation.   
 

We do not allow or accept the use of any form of token or in-app currency.
 

We do not allow tips as a form of pre-payment or payment or donation for goods or services outside of our platforms.
 

We do not allow any tip to exceed £150 worth of value.
 

We do not allow more than one tip per video response.

TIME User Sole Discretion Rights:

 

You acknowledge and agree that a TIME User has sole discretion to determine if and how to fulfil a request of a Follower and may not follow any request exactly.
 

For video to video interactions the TIME User may fulfil or not a Follower's request. Once the TIME User replies and the request is fulfilled then the Follower's payment method will be charged the amount specified at the time the Follower submitted the request.

Delayed Auth & Capture:

 

A follower by submitting a video request authorizes to be charged upon delivery of reply. If the TIME User does not reply then there is no charge for the follower and there is no income creation for the TIME User.

No Right to Copyrights:

 

TIME Users may reply through videos but they do not sell any copyright, licence or sublicence their digital content. A Follower buys the time of the TIME User and the right to view any respective information through video format. Users can not commercially trade any video itself.
 

A TIME User grants limited, non-commercial, viewing rights to a Follower.
 

A Follower can not use any video for commercial or promotional purposes.

Fair Use and Exceptions to Copyright:

 

There are certain very specific situations where you may be permitted to make use of someone else’s copyright protected works without seeking permission from the owner, under fair dealing.
 

Fair dealing is a legal term used to establish whether a use of copyright material is lawful or whether it infringes copyright. There is no statutory definition of fair dealing - it will always be a matter of fact, degree and impression in each case.
 

Fair use include situations such as non-commercial research and private study under fair dealing, text and data mining for non-commercial research, criticism or review or reporting current events under fair dealing, teaching under fair dealing, recording a stream for non-commercial educational purposes provided there is no licensing scheme in place, for helping disabled people, time-shifting, parody or caricature or pastiche, sufficient acknowledgement.

Public and Private Videos:

 

A TIME User can choose if a video is in private or public mode for any of their interactions.
 

If a TIME User sets a video interaction or live stream in public mode that means that the TIME User allows the respective Follower to share the view of this interaction with other users within our platform for free, and allows the respective Follower to share or re-post in public display out of our platforms under the condition of not removing or devising our watermark or devising the original video.
 

A Follower can not sell, resell, licence or trade any video interaction created by a TIME User as stated in the previous clause "No Right to Copyrights".
 

In case a Follower shared public view interaction and the TIME User requests that the Follower has to stop sharing it then the Follower must retract its public view as soon as possible.
 

If a TIME User sets a video interaction or live stream in private mode that means that the TIME User does not allow the respective Follower to share the view of this interaction with other users within our platform or out of our platform.
 

We reserve the right to remove videos from our platforms at any time, for any reason, without prior notice, in our sole discretion.

Charity Accounts:

 

Any charity, trust, foundation, NGO and organization of non-profit nature must meet our KYC and onboarding requirements and be registered as a charity or other applicable registration in the jurisdiction in which the Charity operates.
 

TIME Platforms assesses all Charities on a ad-hock basis. For more information about accessing and using our Services as a Charity check our Prohibited Activities Policy and our Charity Eligibility Policy.

Charity Donations:

 

We track all charity donations in order to ensure that we follow the highest possible anti-money laundering practices.
 

An authorized TIME User may enable a charity selection through our authenticated list of charities and distribute a % of their earnings towards this charity.
 

We do not allow or accept the use of any form of token or in-app currency donation.
 

We do not allow or accept any donation that is not through our authenticated list of charities.
 

We do not allow any donation per single video response to exceed £150 worth of value.

Accounting and Legal Obligations:

 

Every user is legally obliged to follow all the necessary accounting and legal obligations within the jurisdiction they operate.
 

We are not and we can not be liable on behalf of any user, and it is the sole legal obligation of the user to comply with any accounting and legal obligations.

Acknowledgement:

 

You acknowledge and agree that we will not be liable or responsible for any video request made, video reply, video interaction, video upload and any nature of content, live stream and any nature of streaming.
 

You acknowledge and agree that you have no expectation of privacy in case a video is not in private mode.
 

In case a video is set in private mode you acknowledge and agree that you still have not expectation of privacy in case we or other users consider that the video is against our Service Terms or Policies or against the law.
 

You acknowledge and agree that our watermark must remain intact and you agree not to edit, change, modify, cover or remove it from any video or assist or encourage any third party to do so.
 

You acknowledge and agree that you must not edit, change, modify or create any derivative work upon anyone else's video or assist or encourage any third party to do so.
 

You acknowledge and agree that in case you breach our Service Terms or Policies or terminate your access to our Services then your right to view any video terminates immediately and you must immediately remove all copies of any video in your possession or control, including from any social media platform.
 

You acknowledge and agree that when you view content you are doing so at your own risk and responsibility.

Sound or Video or Content Recordings:

 

You must not use within your videos any non-licensed sound or video or content recording.
 

In case our Services include sound or video or content recordings then no rights are licensed at any point in relation to the respective sound or video or content recordings.

Waiver of Rights to User Consent:

 

By creating content within our platforms and by using our Services you waive any rights to prior inspection or approval of any marketing or promotional materials or any sort of professional standards.
 

We reserve the right to disclose your identity to any third party who is claiming a violation of their intellectual property rights or of their right to privacy.
 

We accept no liability in respect of any content submitted by users and published by us or by authorized third parties.

Indemnity:

 

You agree to defend, indemnify, and hold harmless TIME Platforms ltd, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Service Terms or arising out of a breach of your obligations, representation and warranties under these Service Terms and Privacy Policy. TIME Platforms ltd may select counsel for and control the defense of any claim that you are indemnifying. You will reasonably cooperate with us in connection with any claim.

Exclusion of Warranties:

 

Nothing in these Service Terms shall affect any statutory rights that you cannot contractually agree to alter or waive and are legally always entitled to as a consumer.
 

No conditions, warranties or other Service Terms apply to our Services except to the extent that they are expressly set our in the Service Terms. We may change, suspend, withdraw, modify or restrict the availability of all or any part of our Services at any time without notice.

Liability Limitations:

 

To the fullest extent permitted by law, any dispute you have with any third party arising our of your use of the our Services is directly between you and such third party and you irrevocably release us and our affiliates from any and all claims or demands or damages of every kind of nature.
 

Nothing in these terms shall exclude or limit our liability for losses which may not be lawfully excluded or limited by applicable law.
 

We shall not be liable to you for any loss of profit that has been incurred directly or indirectly, any loss of goodwill, any loss of opportunity, and loss of data, and indirect or consequential losses which may be incurred, and loss or damage which may be incurred by you as a result of transactions or relationships with other users or 3rd parties.
 

We shall not be liable to you for any changes which we may make to our Services even if we have to cease or terminate any of our Services without prior notice.
 

We shall not be liable to you for any loss or deletion or corruption of data or content.
 

We shall not be liable to you for your failure not to comply with these Service Terms or Privacy Policy.
 

Once again, you acknowledge and agree that you use our Services at your own risk and we do not make representations or warranties about the accuracy or completeness of any content available through our platforms. You acknowledge and agree that we are not responsible for the usefulness, safety, legality or intellectual property rights of or relating to any such content. You further understand and acknowledge that you may be exposed to content that is inaccurate, offensive, indecent, objectionable, harassing, non scientific, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us.
 

To the maximum extent permitted by applicable law, our total cumulative liability to you or any third party under these Service Terms will be limited to an will not exceed the fees actually received by us from you during the last one month preceding the claim giving rise to such liability.
 

You agree that the limitations of damages set forth above are fundamental elements of these Service Terms and the relationship between you and us.

Reputation Agreement:

 

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
 

You must not establish any link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
 

You must not establish any link in case you do not fully comply with these Service Terms and Privacy Policy.

Security:

 

While we strive to set the highest possible security and compliance standards we do not guarantee that our Services will be secure or free from bugs or viruses. You are responsible for configuring your own information technology security.

No Waiver:

 

Our failure to insist upon or enforce any provision of these Service Terms or Policies shall not be construed as a waiver of any provision or right.

Severability:

 

If any court of law, having jurisdiction to decide on this matter, rules that any provision of these Service Terms is invalid then that provision or specific sub-part of that provision will be removed from the Service Terms for the specific case and without affecting the rest of the Service Terms or users not related to the specific court case and the remaining provisions of the Terms will continue to be valid enforceable.

Jurisdiction:

 

These Service Terms and Policies will be governed by and construed in accordance with the laws of England and Wales without giving effect to any conflict of laws rules or provisions.

Arbitration and Class Action Waiver:

 

All claims will be brought only in an individual capacity and not as a class action or other representative proceeding.
 

You and TIME Platforms ltd agree to resolve any disputes through binding and final arbitration instead of court proceedings and hereby waive any right to a jury trial of any controversy, claim, counterclaim or other dispute arising in relation to our Service Terms or Policies or use of our Services.
 

You and TIME Platforms ltd agree that the arbitration will be kept confidential and that the existence of the proceeding and any element of it will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings in relation to regulatory authorities and other governmental agencies.
 

This arbitration agreement does not preclude you or TIME Platforms ltd from seeking any form of legal action such as pre-arbitral attachments or preliminary injunctions.
 

You agree that in the event of any dispute between you and TIME Platforms ltd, you will first contact us and make a good faith sustained effort for at least 20 days in order to resolve the dispute before resorting to more formal means of resolution, including without limitation any court action.
 

You have the right to opt out of the provisions of this Arbitration Agreement by sending within 30 days after first becoming subject to this Arbitration Agreement, written notice of your decision to opt out. Your notice must include your name, address, any username and phone number and an unequivocal statement that you want to opt out of this Arbitration Agreement.
 

You agree that if you opt out of this Arbitration Agreement, all other parts of these Service Terms will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have or may enter in the future with us.

Eligibility:

 

You represent and warrant that you have not been prohibited from using or accessing any aspect of our Services by us or pursuant to any applicable law or regulation, you will comply with all applicable terms of any third party payment provider we select and you are not on a prohibited list of that payment provider.
 

You represent and warrant that you have not been previously banned or removed from our platforms for any reason, you are not a convicted sex offender, and you do not create or promote any form of pornographic or sexually explicit content of any nature. 

Prohibited Activities:

 

You represent and warrant that you can not access or use our Services if you are engaged in any activity described in our Prohibited Activities Policy. If, in our sole discretion, we believe that you may have engaged in any violation of this Prohibited Activities Policy, we may (with or without notice to you) take such actions as we deem appropriate to mitigate risk to TIME Platforms and any impacted third parties, as described in the Prohibited Activities Policy.

Fees and Payments:

 

You agree to pay all amounts due in accordance with the payment terms in effect when you submit a request, purchase, merchandise, trade, including any applicable service, transaction or processing fees.
 

You acknowledge and agree that TIME Platforms ltd does not operate, own or control any 3rd party payment processing and acquiring services partner. Your use of your payment card is governed by your agreement with and the privacy policy of the 3rd party payment processing and acquiring services partner, not these Service Terms. You agree to immediately notify the payment provider of any change in your billing address.
If your sales, purchases or trades obligate TIME Platforms ltd to collect a tax from you then we will collect a tax in addition to the fee. In each case, you will be responsible for the payment of taxes to the appropriate tax authorities and you indemnify TIME Platforms ltd for any liability or expense TIME Platforms ltd may incur in connection with your sales, purchases or trades.

 

TIME Platforms ltd has as a general principle to secure that TIME Users are getting paid at least 80% from any trade within our platforms and the rest 20% is distributed to the payment providers and any banking fees and relevant fees and to TIME Platforms ltd in order to maintain and operate our platforms efficiently and re-invest it within the industry and the TIME Users who wish to use our Services.
 

You agree that in case you fail the KYC onboarding process or cause Chargebacks or misuse our Services then we retain the right to charge your sub-merchant account or withhold any relevant fees in compliance or by over-ruling our TIME Money Back Guarantee.

Extra KYC Data:

 

We or our 3rd party payment processing and acquiring services partner may require extra KYC data from a sub-merchant. In this instance, no settlement will be made to the sub-merchant until the required sub-merchant details have been provided and verified. Such details will need to be provided within 30 days, otherwise the sub-merchant account will then be marked as inactive (and will be unable to process transactions). If 42 days after such suspension the sub-merchant is still unable to provide the required information and pass scheduled verification checks, the sub-merchant account will be closed and all transactions that have not yet been settled will be automatically refunded to the buyer who made the original payment (the most recent incoming transaction being refunded first).

TIME Money Back Guarantee:

 

A cardholder is a consumer or organization who has been given a card by a financial institution which is called a card issuer. A Follower (buyer) who makes use of our Services and wishes to buy the time of a TIME User (seller) must be a cardholder. A dispute (also known as a chargeback) occurs when a cardholder questions the payment with their card issuer and the card issuer creates a formal dispute.
 

We strive to be a zero dispute policy platform and in order to use our Services you acknowledge and accept that time is not a digital asset and it can not be refunded.
 

A TIME User has the courtesy to view for free the video request coming from a Follower.
 

A TIME User has the courtesy to create for free a video response. A TIME User will get paid only if they send the video proving that they took the time to view the Follower’s video request and the time to reply back.
 

The Follower will get charged only upon delivery of the TIME User’s response.
 

The service has been delivered and time can not be refunded.
 

In case a Follower is not happy with the reply then the TIME User is probably not going to receive another request back from the same or/and other Followers.
 

In case a Follower believes that there was any wrongdoing with the video response of the TIME User then the Follower can report the TIME User or/and use our TIME Money Back Guarantee. In case we conclude that the TIME User has conducted a form of wrongdoing then we have the right to take any measures against the account of the TIME User.
 

In the event that due to unknown reasons not covered by our Service Terms we accept a refund, you acknowledge that the latter does not qualify as an admission of wrongdoing by our side.
 

A dispute resolution process can be initiated any time through our platform or website and by submitting any relevant evidence that is not against our Service Terms. 
 

Instead of filling a dispute with your bank you must exhaust any and all means of contacting us in order to resolve any issue amicably, through our tipping options if possible or through our TIME Money Back Guarantee.

App Stores:

 

To the extent permitted by applicable law supplemental terms shall apply when you access our platforms through App Stores. You hereby acknowledge and agree that you accept the respective terms from third party App Stores in order to download and access our mobile applications.

Copyright Policy:

 

As a user you acknowledge and agree that a TIME User is the legal copyright owner of all content created within our platforms or uploaded to.
